By accessing, browsing, or otherwise using the Packternity website located at www.packternity.com (the "Site"), or by requesting samples, quotations, or engaging in any commercial transaction with Packternity, you ("User," "Client," or "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use our services.
These Terms apply to all visitors, users, and others who access or use the Site, including procurement managers, brand managers, importers, retailers, and any other business representatives.
Acceptable Use Policy
You agree to use the Site and our services solely for lawful business purposes and in accordance with these Terms. You are responsible for ensuring that your use of our platform complies with all applicable local, national, and international laws and regulations.
2.1 Permitted Uses
- Browsing product portfolios, capabilities, and company information for legitimate procurement purposes.
- Submitting inquiries, quotation requests, or sample requests via official contact channels.
- Downloading publicly available materials (catalogs, specification sheets) for internal business evaluation.
- Communicating with our sales and design teams for the purpose of establishing or maintaining a commercial relationship.
2.2 Prohibited Conduct
You expressly agree not to:
- Copy, reproduce, distribute, or commercially exploit any content, designs, or proprietary materials from this Site without prior written consent.
- Use automated tools, bots, scrapers, or similar technologies to extract data from the Site.
- Transmit any material that is unlawful, defamatory, fraudulent, or that infringes upon any third-party rights.
- Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected databases or systems.

Intellectual Property Rights
All content on this Site -- including but not limited to text, graphics, logos, product images, structural design files, packaging specifications, photography, and the overall "look and feel" -- is the exclusive property of Guangzhou DingJian Printing & Packaging Co., Ltd. or its licensors, and is protected under applicable copyright, trademark, and trade dress laws.
3.1 Packternity's Proprietary Rights
The Packternity name, logo, brand identity, and all related marks are registered or unregistered trademarks of Guangzhou DingJian Printing & Packaging Co., Ltd. Unauthorized use of these marks is strictly prohibited and may constitute trademark infringement under applicable law.
3.2 Client-Provided Materials
When you submit artwork, brand guidelines, logos, or other proprietary materials to Packternity for the purpose of custom packaging production, you represent and warrant that:
- You own or have obtained all necessary rights, licenses, and permissions to use and provide such materials.
- The use of such materials by Packternity for production purposes does not infringe upon any third-party intellectual property rights.
- You grant Packternity a limited, non-exclusive license to use such materials solely for the purpose of fulfilling your order.
3.3 Custom Design Ownership
Structural designs, dielines, and artwork created by Packternity's in-house design team on a bespoke basis for a specific client shall be governed by the terms of the applicable commercial agreement. Unless explicitly transferred in writing, Packternity retains all intellectual property rights to original design work.
Disclaimers
"As-Is" Basis
The Site and all information contained therein are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Packternity makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any content on this Site.
Product Representation
While we strive to accurately represent our products through photography and descriptions, color rendering may vary depending on your display device settings and calibration. Physical samples are available upon request and are strongly recommended prior to committing to mass production orders.
Third-Party Links
Our Site may contain links to third-party websites for informational purposes. Packternity does not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party sites. Accessing such links is done at your own risk.
Regulatory Compliance
While Packternity offers FSC-certified and REACH-compliant material options, it is the client's sole responsibility to verify that the selected materials, finishes, and packaging configurations comply with all applicable regulations in the destination market. Packternity provides material certifications upon request but does not provide legal or regulatory compliance advice.
Limitation of Liability
Important Notice
To the maximum extent permitted by applicable law, Guangzhou DingJian Printing & Packaging Co., Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this Site or our services, even if advised of the possibility of such damages.
5.1 Cap on Direct Damages
In no event shall Packternity's total aggregate liability to you for any claims arising out of or related to these Terms or your use of our services exceed the total amount paid by you to Packternity in the three (3) months immediately preceding the event giving rise to the claim.
5.2 Force Majeure
Packternity shall not be held liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, port closures, supply chain disruptions, labor disputes, or other force majeure events. We will make commercially reasonable efforts to notify affected clients and minimize disruption.
5.3 Client Indemnification
You agree to indemnify, defend, and hold harmless Packternity and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your violation of these Terms; (b) your infringement of any third-party intellectual property rights through materials you submitted for production; or (c) your failure to comply with applicable laws in your jurisdiction.
Amendments & Governing Law
6.1 Right to Modify
Packternity reserves the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be indicated by updating the "Last Updated" date at the top of this page. We may also provide notice via email or a prominent notice on the Site.
Your continued use of the Site or our services after any such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed of any updates.
6.2 Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Guangzhou, Guangdong Province, China.
For international clients, commercial disputes related to specific orders shall be governed by the terms of the applicable sales contract, which may incorporate alternative dispute resolution mechanisms including arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules.
6.3 Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
6.4 Entire Agreement
These Terms, together with our Privacy Policy and any applicable commercial agreements or purchase orders, constitute the entire agreement between you and Packternity regarding your use of this Site and our services, superseding all prior and contemporaneous understandings.

Please read these Terms of Service carefully before using the Packternity website or placing any orders. By accessing our site, you agree to be bound by these terms.
Important Notice: These Terms of Service constitute a legally binding agreement between you and Guangzhou DingJian Printing & Packaging Co., Ltd. (trading as Packternity). If you do not agree to these terms, please discontinue use of our website and services immediately.
Acceptance of Terms
By accessing or using the Packternity website (the "Site") located at www.packternity.com, or by placing an order or inquiry through any of our communication channels, you ("User," "Client," or "you") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy, which is incorporated herein by reference.
These Terms apply to all visitors, clients, partners, and others who access or use our services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
Use of the Site constitutes your acceptance of these Terms. Continued use of the Site following the posting of any changes to these Terms will mean you accept those changes.
Website Usage Rules
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site. Specifically, you agree not to:
- Use the Site in any way that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity.

- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content without express written permission from Packternity.
- Introduce any viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful to the Site or its infrastructure.
- Misrepresent your identity or affiliation with any person or organization when contacting Packternity or using our services.
Packternity reserves the right to restrict or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason at our sole discretion.
Intellectual Property
3.1 Packternity's Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, icons, images, product photographs, design samples, audio clips, digital downloads, data compilations, and software, is the property of Guangzhou DingJian Printing & Packaging Co., Ltd. or its content suppliers, and is protected by applicable copyright, trademark, and other intellectual property laws. The "Packternity" name, logo, and all related product names, design marks, and slogans are trademarks of the Company. Unauthorized use of any Packternity trademark is strictly prohibited.
3.2 Client-Provided Materials
When you submit designs, artwork, logos, brand guidelines, or other materials ("Client Materials") to Packternity for the purpose of producing custom packaging, you represent and warrant that: (a) you own or have all necessary rights, licenses, consents, and permissions to use and authorize Packternity to use the Client Materials; (b) the Client Materials do not infringe any third-party intellectual property rights; and (c) you grant Packternity a limited, non-exclusive, royalty-free license to use the Client Materials solely for the purpose of fulfilling your order.
3.3 Custom Design Ownership
Structural designs, dielines, and artwork created exclusively by Packternity's design team for a specific client order shall, upon full payment, be considered work-for-hire and ownership shall transfer to the client. However, Packternity retains the right to use anonymized or non-identifiable versions of such designs for internal portfolio, capability demonstration, and marketing purposes, unless the client explicitly requests otherwise in writing prior to project commencement.
Orders & Services
All orders placed with Packternity are subject to acceptance and availability. We reserve the right to refuse any order at our sole discretion. An order is considered confirmed only upon receipt of a written order confirmation or proforma invoice issued by Packternity and the client's written acceptance thereof.
4.1 Sampling & Prototypes
Physical samples or digital proofs will be provided prior to mass production. The client is responsible for thoroughly reviewing and approving all samples and proofs before production commences. Packternity shall not be liable for errors or deviations in the final product that were present in and approved through the sample or proof stage. Sampling timelines of 3-4 business days are estimates and may vary based on design complexity and material availability.
4.2 Pricing & Payment
All prices are quoted in USD unless otherwise specified and are subject to change without notice prior to order confirmation. Quoted prices are valid for 30 days from the date of quotation. Payment terms are as specified in the individual order confirmation or contract. Packternity reserves the right to withhold shipment of goods until full payment has been received.
4.3 Delivery & Shipping
Delivery timelines communicated by Packternity are estimates only and are not guaranteed. Packternity shall not be liable for delays caused by circumstances beyond its reasonable control, including but not limited to force majeure events, customs delays, carrier disruptions, or material shortages. Risk of loss and title for products pass to the client upon handover to the designated carrier or freight forwarder.
4.4 Quality & Returns
Packternity performs 100% quality inspection on all finished goods prior to shipment. In the event of a documented quality defect attributable to Packternity's manufacturing process, clients must notify us in writing within 14 days of receipt of goods, accompanied by photographic or video evidence. Packternity's sole obligation in such cases shall be, at its discretion, to replace the defective goods or issue a credit toward a future order. Returns are not accepted without prior written authorization.

As-Is Basis
THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY PACKTERNITY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PACKTERNITY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE OR THE INFORMATION, CONTENT, MATERIALS, OR SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE.
Packternity does not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.
Product images and descriptions on the Site are for illustrative purposes only. Actual product colors, textures, and finishes may vary due to monitor calibration, printing variables, and material lot differences. Packternity recommends requesting a physical sample before committing to mass production.
Any third-party links or references on the Site are provided for convenience only. Packternity does not endorse, control, or assume responsibility for the content or practices of any third-party websites.
Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PACKTERNITY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SITE OR SERVICES, EVEN IF PACKTERNITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Packternity's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site or services exceed the total amount paid by you to Packternity in the twelve (12) months immediately preceding the event giving rise to the claim, or USD $500, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, Packternity's liability shall be limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Packternity and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
Confidentiality
Packternity understands that clients may share sensitive business information, including brand strategies, upcoming product launches, proprietary designs, and trade secrets, in the course of engaging our services. Packternity treats all such information as strictly confidential and will not disclose it to any third party without your prior written consent, except as required by law or regulation.
Packternity's employees and contractors involved in client projects are bound by confidentiality obligations. We do not share client-specific designs, artwork, or project details with any other clients or third parties.
If a formal Non-Disclosure Agreement (NDA) is required, clients may request one prior to sharing sensitive materials. Packternity is willing to execute mutual NDAs upon reasonable request.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions. For clients based in the European Union or other jurisdictions, mandatory consumer protection laws of the client's country of residence may also apply where required by local law.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the competent courts of Guangzhou, Guangdong Province, China, or resolved through arbitration as mutually agreed by both parties.
Nothing in this clause shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.
Modifications to These Terms
Packternity reserves the right to revise and update these Terms of Service at any time at our sole discretion. All changes are effective immediately when posted on the Site and apply to all access to and use of the Site thereafter.
We will indicate the date of the most recent revision at the top of this page ("Last Updated"). Where changes are material, we will endeavor to provide reasonable notice, such as a prominent notice on the Site or, where applicable, via email to registered users or active clients.
Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.
Packternity also reserves the right to modify, suspend, or discontinue the Site or any part thereof at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
